The agreement that governs use of this website and our services.
1. Agreement to terms
By accessing this website or engaging Structure Webworks for services, you agree to be bound by these terms. If you do not agree, please do not use the site or our services.
2. Services
Structure Webworks provides web design, development, SEO and related digital services. The scope, timeline and price of any engagement are defined in a separate written proposal or statement of work signed by both parties.
3. Payment terms
Project work is billed per the payment schedule in the applicable proposal. Invoices are due within 14 days unless otherwise agreed. Late payments may pause active work.
4. Intellectual property
Upon full payment, deliverables created specifically for the client become the client’s property. Pre-existing tools, frameworks and know-how remain the property of Structure Webworks and are licensed for use within the deliverables.
5. Client responsibilities
The client agrees to provide timely feedback, content and access required for the project, and warrants that materials supplied to us do not infringe third-party rights.
6. Warranties & liability
Services are provided with reasonable skill and care. To the maximum extent permitted by law, our aggregate liability is limited to the fees paid for the services giving rise to the claim.
7. Termination
Either party may terminate an engagement with written notice per the applicable proposal. Work completed to the termination date is billable.
8. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
